OVERVIEW

Welcome to Soulmates Community Concept Store. The terms “we”, “us” and “our” refer to Soulmates Community Concept Store (“Soulmates”).

Soulmates operates this store and website, including all related information, content, features, tools, products and services (collectively, the “Services”) to provide you with a curated shopping experience. Our online store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced in these Terms (including our Privacy Policy, Shipping Policy, and Returns & Exchanges Policy), govern your access to and use of the Services.

By accessing, browsing, purchasing from, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

SECTION 1 - ELIGIBILITY, ACCESS AND ACCOUNT

By using the Services, you represent that:

  • you are at least the age of legal majority in your jurisdiction of residence, or

  • you are using the Services with the consent and supervision of a parent or legal guardian.

You may be asked to provide certain information (such as your name, email address, billing information, payment information, shipping information, and phone number) in order to use certain parts of the Services or place an order. You agree that all information you provide is accurate, current, complete, and lawfully provided.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You may not transfer, sell, or assign your account to another person without our prior written consent.

We reserve the right to suspend or terminate accounts, refuse service, or restrict access to the Services at our discretion where we reasonably suspect fraud, abuse, unlawful activity, or a breach of these Terms.

SECTION 2 - PRODUCTS, AVAILABILITY AND STORE PRESENTATION

We make reasonable efforts to display product descriptions, pricing, sizes, colors, and images as accurately as possible. However:

  • product colors and appearance may vary depending on your device, display settings, and lighting

  • minor differences in appearance, finish, or packaging may occur

  • product availability is subject to change at any time

All product descriptions and offerings are subject to change without notice at our sole discretion. We reserve the right to discontinue products, limit quantities, or restrict sales on a case-by-case basis, including where we suspect unauthorized resale, abuse, or fraud.

We do not guarantee that any product or service will meet subjective expectations beyond applicable legal requirements.

SECTION 3 - ORDERS, ACCEPTANCE AND CANCELLATIONS

When you place an order, you submit an offer to purchase. Your order is subject to our acceptance.

We may accept, reject, limit, or cancel any order at our discretion, including in cases involving:

  • suspected fraud or unauthorized transactions

  • product unavailability

  • pricing or listing errors

  • unusual or bulk ordering behavior

  • inability to verify payment or delivery details

An order is not accepted until payment is successfully processed and we send an order confirmation or dispatch confirmation (as applicable).

Please review your order carefully before submitting it. Once an order has been accepted and/or processed, cancellation requests may not be possible.

If we reject, modify, or cancel an order after submission, we will attempt to notify you using the contact details provided and, where applicable, issue a refund in accordance with our policies and applicable law.

You agree that purchases are for personal use unless otherwise agreed by us in writing.

SECTION 4 - PRICING, BILLING AND PAYMENTS

Prices, promotions, and availability are subject to change without notice.

The price charged for a product will be the price shown at the time your order is placed, unless there is an obvious error. We reserve the right to correct pricing, typographical, or system errors at any time, including after an order is submitted. If a correction affects your order, we may contact you with options or cancel the order and issue a refund where applicable.

Unless explicitly stated otherwise, prices shown on the website may exclude shipping fees and any applicable taxes or charges, which will be shown at checkout where applicable.

You agree to provide current, complete, and accurate payment and billing information and authorize us (and our payment service providers) to charge the selected payment method for the total order amount, including shipping and any applicable taxes or fees.

We reserve the right to refuse or cancel transactions where payment cannot be authorized, processed, or verified.

SECTION 5 - SHIPPING, DELIVERY AND RISK

We currently provide delivery within Thailand only, subject to our Shipping Policy.

Shipping and delivery timeframes are estimates only and are not guaranteed. Delays may occur due to courier issues, weather, public holidays, address errors, force majeure events, or other factors beyond our reasonable control.

We are not liable for shipping or delivery delays caused by third-party carriers or circumstances outside our control.

Risk of loss or damage passes to you upon delivery to the address provided by you or, for self-pickup orders, upon collection (or when the order is made available for collection and you are notified, subject to applicable law).

You are responsible for providing accurate delivery information. We are not responsible for failed delivery, delays, or additional charges caused by incorrect or incomplete address or contact information.

SECTION 6 - RETURNS, EXCHANGES AND REFUNDS

Returns, exchanges, and refunds are governed exclusively by our Returns & Exchanges Policy and related posted policies, as updated from time to time.

Nothing in these Terms limits your non-waivable rights under applicable consumer protection laws in Thailand.

SECTION 7 - INTELLECTUAL PROPERTY

All content and materials available through the Services, including but not limited to text, graphics, logos, product names, images, videos, audio, layouts, design elements, and software (collectively, “Content”), are owned by or licensed to Soulmates, Shopify, or our licensors and are protected by applicable intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, lawful, and non-commercial purposes only.

You must not, without our prior written consent:

  • reproduce, copy, distribute, republish, upload, post, or transmit Content

  • modify or create derivative works from the Services or Content

  • use any Content for commercial purposes

  • remove copyright, trademark, or proprietary notices

  • use our trademarks, logos, or brand assets in a way that suggests affiliation or endorsement

All rights not expressly granted are reserved.

SECTION 8 - OPTIONAL TOOLS AND THIRD-PARTY SERVICES

The Services may include access to tools, features, integrations, or services provided by third parties (including Shopify apps, payment gateways, and embedded content).

We provide access to such third-party services on an “as is” and “as available” basis without warranties, endorsements, or control over their operation, availability, or terms.

Your use of any third-party services is at your own risk and may be subject to separate third-party terms and privacy policies.

SECTION 9 - THIRD-PARTY LINKS

The Services may contain links to third-party websites or content. We are not responsible for the content, accuracy, policies, products, services, or practices of any third-party websites.

If you choose to access third-party sites, you do so at your own risk. You should review their terms and policies before engaging in any transaction.

SECTION 10 - RELATIONSHIP WITH SHOPIFY

Soulmates Community Concept Store uses Shopify to power its online store. However, all sales contracts for products purchased through our store are made directly between you and Soulmates Community Concept Store, not with Shopify.

To the extent permitted by law, Shopify and its affiliates are not responsible for the products sold by Soulmates or for any disputes, claims, losses, injuries, or damages arising from transactions between you and Soulmates.

SECTION 11 - PRIVACY

Your submission of personal information through the Services is governed by our Privacy Policy and may also involve processing by Shopify in order to provide and operate the storefront and related services.

By using the Services, you acknowledge that you have read and understood the applicable privacy policies.

SECTION 12 - USER FEEDBACK, REVIEWS AND SUBMISSIONS

If you submit reviews, comments, suggestions, ideas, or other materials (“Feedback”), you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, publish, adapt, display, and distribute such Feedback for operating, improving, marketing, and promoting our business and Services.

You represent that:

  • your Feedback is accurate to the best of your knowledge

  • you have the rights necessary to submit it

  • it does not infringe any third-party rights

  • it is not unlawful, abusive, defamatory, fraudulent, or misleading

We reserve the right (but not the obligation) to moderate, remove, or refuse any Feedback at our discretion.

SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally, information on the Services may contain typographical errors, inaccuracies, or omissions, including in relation to product descriptions, pricing, promotions, availability, shipping costs, or delivery estimates.

We reserve the right to correct such errors and to update or cancel orders affected by material errors, including after an order is submitted. Where required, we will notify you and provide an appropriate remedy in accordance with applicable law.

SECTION 14 - PROHIBITED USES

You may use the Services only for lawful purposes.

You agree not to:

  • use the Services for unlawful, fraudulent, or malicious purposes

  • violate any applicable laws or regulations

  • infringe intellectual property or privacy rights

  • upload malware, viruses, or harmful code

  • scrape, crawl, spider, or systematically extract data without authorization

  • interfere with security, performance, or functionality of the Services

  • impersonate another person or entity

  • submit false or misleading information

  • engage in abusive, threatening, harassing, or defamatory conduct toward us, our staff, or other users

  • use the Services for unauthorized resale, automated purchasing, or circumvention of purchase limits

We may suspend or terminate access for any breach or suspected breach of this Section.

SECTION 15 - TERMINATION

We may suspend, restrict, or terminate your access to the Services at any time if we reasonably believe you have breached these Terms, engaged in fraud or misuse, or created risk or legal exposure for us.

Termination does not affect rights and obligations accrued before termination, including payment obligations, intellectual property rights, limitations of liability, indemnities, and other provisions intended to survive.

SECTION 16 - DISCLAIMERS

To the maximum extent permitted by applicable law, the Services and all content and products provided through the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, except as expressly stated by us or required by law.

We do not guarantee that:

  • the Services will be uninterrupted, secure, or error-free

  • defects will be corrected immediately

  • the Services or servers are free from harmful components

  • information available on the Services is always complete, current, or error-free

Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.

SECTION 17 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, Soulmates Community Concept Store, its owners, directors, officers, employees, affiliates, contractors, service providers, licensors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or opportunity, arising out of or related to:

  • your access to or use of (or inability to use) the Services

  • delays, interruptions, or errors in the Services

  • third-party carrier delays or failures

  • unauthorized access to your account caused by your failure to secure credentials

  • reliance on information presented through the Services

  • third-party services, websites, or tools linked to or integrated with the Services

To the extent permitted by law, our total liability for any claim relating to a product purchased through the Services shall not exceed the amount actually paid by you for the specific product giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

SECTION 18 - INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Soulmates Community Concept Store and its affiliates, officers, employees, contractors, service providers, licensors, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  1. your breach of these Terms

  2. your misuse of the Services

  3. your violation of applicable law

  4. your infringement of any third-party rights

This Section applies only to the extent permitted under applicable law.

SECTION 19 - SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

SECTION 20 - WAIVER AND ENTIRE AGREEMENT

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with the policies referenced in them, constitute the entire agreement between you and us regarding your use of the Services and supersede prior communications or agreements relating to the same subject matter.

SECTION 21 - ASSIGNMENT

You may not assign, transfer, or delegate any rights or obligations under these Terms without our prior written consent.

We may assign, transfer, or delegate these Terms and any rights or obligations under them in connection with a business transfer, restructuring, sale, merger, or operation of the Services.

SECTION 22 - GOVERNING LAW AND JURISDICTION

These Terms and any dispute, claim, or controversy arising out of or relating to the Services or purchases from Soulmates shall be governed by the laws of Thailand, without regard to conflict of laws principles.

Subject to applicable consumer protection law, the courts of Thailand shall have jurisdiction over such disputes.

SECTION 23 - CHANGES TO THESE TERMS

We may update or modify these Terms from time to time by posting the revised version on our website.

Changes become effective when posted, unless otherwise stated. Your continued use of the Services after updated Terms are posted constitutes acceptance of the updated Terms, to the extent permitted by law.
